Entre los suscritos, por una parte, TALENT MAPPING S.A.S sociedad comercial legalmente creada e inscrita en el registro mercantil, identificada con NIT 901.398.593-2, domiciliada en la ciudad de Bogotá D.C., representada en este acto por el señor ALEJANDRO AREVALO, mayor de edad, domiciliado en la ciudad de Bogotá D.C, identificado con cédula de ciudadanía número 80.871.113 de Bogotá D.C., en calidad de representante legal de la sociedad (en adelante, “TMAPP”); y por otra parte, EL CLIENTE; quienes conjuntamente se denominarán como Las Partes, han decidido celebrar el presente Contrato (“El Contrato”) con el fin de establecer las condiciones esenciales del negocio en conjunto que llevarán Las Partes, las cuáles se regirán por las cláusulas señaladas a continuación:

• OBJETO – Por medio del presente Contrato, EL CLIENTE contrata los servicios de TMAPP para el reclutamiento de perfiles. Como contraprestación por los servicios brindados por TMAPP, EL CLIENTE pagará el valor definido en la cláusula segunda. Al inicio de cada nueva búsqueda o cada nuevo Mapping, TMAPP relevará el perfil con EL CLIENTE y determinará las condiciones y demás atributos específicos aplicables para dicho proceso. Por su parte, TMAPP se compromete a realizar todas las gestiones y acciones conducentes a encontrar, como mínimo, la cantidad de candidatos definida en la propuesta, en el tiempo de entrega estipulado en la misma.
  

• VALOR - Para el pago de los honorarios a cargo de EL CLIENTE, las partes acuerdan proceder bajo lo establecido en la propuesta comercial. Para cualquier caso que elija EL CLIENTE, TMAPP emitirá una factura por los referidos importes, cumpliendo con las disposiciones fiscales aplicables y añadiendo los impuestos que resulten procedentes al momento de expedir la factura. El pago de la factura deberá realizarse dentro de los 30 (treinta) días siguientes a la fecha en que se expida la factura.
  ‍
  Parágrafo: Superado el periodo de pago de la factura establecido en la cláusula segunda, la falta de pago de cualquier monto a cargo del Cliente y en favor de TMAPP con ocasión al presente Contrato dará lugar a una sanción equivalente a un 2 % (dos por ciento) sobre el valor total a pagar a cargo del Cliente por cada mes de retraso y al pago de intereses moratorios del 2 % (dos por ciento) mensual, calculados a prorrata sobre el valor total del pago adeudado, sin perjuicio de que TMAPP pueda iniciar las medidas judiciales y/o extrajudiciales que considere pertinentes para exigir el cobro coactivo de dichas sumas a partir del momento en que el Cliente se encuentre en mora con el pago de los servicios objeto del presente Contrato, TMAPP se encuentra autorizada para reportar a EL CLIENTE ante las centrales de riesgo en Colombia (tales como DATACRÉDITO, entre otros).
  

• ALCANCE DE LOS SERVICIOS - Todo lo relacionado con los exámenes médicos de los candidatos y las medidas necesarias para que los candidatos puedan obtener el correspondiente permiso de trabajo o cualquier otra autorización que sea necesaria, será responsabilidad exclusiva y única de EL CLIENTE, quien deberá favorecer la realización de cualquier acto encaminado a la consecución de los referidos permisos o autorizaciones. Adicionalmente, EL CLIENTE deberá asegurarse que la contratación del candidato no implique en modo alguno el incumplimiento de la legislación laboral vigente, siendo de su exclusiva responsabilidad cualquier incumplimiento en este sentido.
  
  TMAPP no será responsable en ningún caso frente a EL CLIENTE de los daños, perjuicios, costos, reclamaciones o gastos soportados a cargo de EL CLIENTE o reclamados por terceros, como consecuencia de la selección o contratación de los candidatos. Queda expresamente acordado y entendido que EL CLIENTE se hará cargo del manejo y pago de todas y cada una de las prestaciones laborales a cargo de los candidatos que sean vinculados laboralmente por éste, y en consecuencia mantendrá libre e indemne a TMAPP de cualquier daño, reclamación o demanda que pudiese iniciar cualquiera de los candidatos vinculados con el Cliente contra TMAPP por estos conceptos.
  

• GARANTÍA - Si por cualquier motivo, el candidato presentado y escogido por el Cliente deja el cargo durante el período de garantía, contado a partir del momento en que el candidato acepta la carta oferta, T-mapp se compromete a iniciar un nuevo proceso de búsqueda, sin costo adicional, durante el tiempo pactado en los términos comerciales. T-mapp no realizará reembolsos ni devoluciones parciales o totales de dinero. La garantía se ejecutará en relación al tiempo acordado entre las partes, ofreciendo una reposición gratuita en forma de trabajo para cubrir la vacante trabajada.
  

• El Cliente deberá pagar a TMAPP los honorarios previstos en la cláusula segunda del presente Contrato, si el candidato presentado por TMAPP no es aceptado por el Cliente o éste rechazase la oferta de empleo y posteriormente resultase contratado por el Cliente dentro de un plazo de 18 meses a partir de la fecha de la presentación del mismo.
  

• EXCLUSIÓN DE RELACIÓN LABORAL - Las Partes aceptan y entienden que no existe entre ellas ninguna relación de tipo laboral ni subordinación alguna. TMAPP es una empresa independiente, la cual tiene completa autonomía en sus funciones. TMAPP responderá personalmente por los gastos derivados de su operación mercantil.
  

• EXCLUSIVIDAD - Si durante el proceso de selección realizado por TMAPP el Cliente tiene algún candidato propio o provisto por terceros, el Cliente deberá presentarlo obligatoriamente a TMAPP, quien a su vez lo incluirá en el proceso, de tal forma que si resultara finalmente contratado, el Cliente igualmente deberá pagar a TMAPP los honorarios previstos en la cláusula segunda (2) del presente Contrato.
  

• CANCELACIÓN - TMAPP no cobra tasa de cancelación. En cualquier caso, el Cliente deberá abonar los honorarios relativos a las etapas de servicios efectivamente prestados hasta el momento de la cancelación. Si con posterioridad a la cancelación de una búsqueda de candidatos el Cliente hiciera una propuesta de trabajo a un candidato presentado por TMAPP, el Cliente deberá abonar a TMAPP los honorarios pactados para la búsqueda de dicho candidato. Bajo ningún concepto los valores pagados por el Cliente hasta antes de la eventual cancelación de los servicios se transformarán en créditos en favor del Cliente para otras posiciones ni podrán ser reembolsados.
  

• DURACIÓN - Los servicios de selección no podrán tener una duración superior a seis 6 meses contados a partir de la firma del Contrato, a menos que en las condiciones especiales expresamente se estipule lo contrario. Si transcurrido dicho periodo ninguno de los candidatos presentados por TMAPP ha sido contratado por el Cliente, se entenderá que el servicio es anulado por el Cliente, siendo, en tal caso aplicable lo dispuesto en la cláusula anterior.
  

• En el supuesto en que el Cliente decida contratar (o hacer colaborar) a más candidatos de los que se hubieran previsto o requerido contractualmente a TMAPP en un periodo de 18 meses contados a partir de la fecha de inicio del servicio a cargo de TMAPP, el Cliente deberá pagar a TMAPP los honorarios correspondientes a cada uno de los candidatos contratados según lo descrito en la cláusula segunda (2) del Contrato y de acuerdo a la alternativa de honorarios seleccionada por el Cliente.
  

• AUSENCIA DE REPRESENTACIÓN - El presente Contrato es un contrato meramente comercial que rige la relación entre TMAPP y EL CLIENTE. Por ende, entre Las Partes existe únicamente la relación comercial enunciada en el presente Contrato y no existe una relación de agencia, ni una empresa conjunta (joint venture), sociedad de hecho, contrato de cuentas en participación, ni ninguna otra forma asociativa diferente a la aquí enunciada.
  

• CESIÓN- Ninguna de las Partes podrá ceder total o parcialmente el presente Contrato.
  

• MODIFICACIONES- El presente Contrato solamente podrá ser modificado mediante el acuerdo escrito firmado por las Partes. En ninguna circunstancia el presente Contrato podrá ser terminado o modificado verbalmente.
  

• LEGISLACIÓN APLICABLE- Para todos los efectos, la legislación aplicable al presente Contrato será la normatividad jurídica colombiana.
  

• CLÁUSULA COMPROMISORIA - Respecto de toda controversia o diferencia que surja por causa o con ocasión del presente Contrato, las Partes contarán con treinta (30) días calendario para solucionarlo directamente. En caso de no llegar a un acuerdo, se resolverá por un procedimiento de Arbitraje para Mipymes o Arbitraje Social de la Cámara de Comercio de Bogotá, el cual se sujetará al Reglamento de Procedimiento de Arbitraje Mipymes y Arbitraje Social del Centro de Solución de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá, de acuerdo con las siguientes reglas:

  a. El tribunal estará integrado por un árbitro designado por la Cámara de Comercio de Bogotá, a solicitud de cualquiera de las partes.
  b. El Tribunal decidirá en derecho.
  c. Las funciones de Secretaría serán asumidas por el Centro de Solución de Conflictos de la Cámara de Comercio de Bogotá.
  d. Los costos del arbitraje serán los establecidos en el Reglamento de Procedimiento de Arbitraje Mipymes y Arbitraje Social del Centro de Solución de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
  
  Para este fin, las Partes conocen y aceptan someterse en su integridad al citado reglamento. Además, se comprometen a aceptar y a cumplir la decisión que adopte el árbitro único.
  

• CONFIDENCIALIDAD - Las partes observarán siempre el deber de discreción, comunicando datos en la medida de lo estrictamente necesario para posibilitar la contratación. TMAPP no revelará los datos del Cliente cuando no sea autorizada. Las partes no pueden ser responsabilizadas por divulgación hecha por terceros, debiendo las partes orientar a los candidatos, terceros y sus funcionarios a igualmente observar el deber de discreción. Toda la información revelada por parte de TMAPP como consecuencia de la ejecución del presente Contrato se considerará información confidencial propiedad de TMAPP y en consecuencia EL CLIENTE, sus accionistas, administradores y/o personal vinculado se abstendrán de utilizar, divulgar, copiar, reproducir, publicar o comunicar directa o indirectamente a terceros o a utilizar para propósitos diferentes a la ejecución del presente Contrato, dicha información confidencial, sin la previa autorización por escrito de TMAPP. La referida Información Confidencial sólo será revelada por EL CLIENTE a su Personal en la medida en que ello resulte indispensable para la adecuada ejecución del Contrato siempre que las mismas adquieran un deber de confidencialidad sobre la Información Confidencial. Parágrafo: Las Partes acuerdan que, bajo ninguna circunstancia, EL CLIENTE podrá revelar la información personal de los candidatos que le haya sido entregada por TMAPP. En caso de que EL CLIENTE incumpla esta disposición, deberá responder por cualquier sanción, reclamo o perjuicio que se cause como consecuencia de su incumplimiento, evento en el cual deberá, además, defender los intereses de TMAPP.
  

• PREVENCIÓN DE LAVADO DE ACTIVOS Y FINANCIACIÓN DEL TERRORISMO- Las Partes manifiestan bajo la gravedad del juramento, que los recursos que componen sus patrimonios no provienen de lavado de activos, financiación del terrorismo, narcotráfico, captación ilegal de dineros y en general de cualquier actividad ilícita; de igual manera manifiestan que los recursos recibidos en desarrollo de este Contrato, no serán destinados a ninguna de las actividades antes descritas. Para efectos de lo anterior, entre Las Partes se autorizan para que consulten los listados, sistemas de información y bases de datos a los que haya lugar y de encontrar algún reporte, cada Parte, procederá a adelantar las acciones contractuales y/o legales que correspondan.
  

• DOMICILIO CONTRACTUAL Y NOTIFICACIONES- Para los efectos del presente Contrato, el domicilio contractual será la ciudad de Bogotá D.C. y las notificaciones entre Las Partes se realizarán en las siguientes direcciones:Talent Mapping S.A.S: alejandro@t-mapp.com; Calle 94 # 21 - 37; +57 317 6422219
  

El CLIENTE, así como cualquiera de sus filiales, subsidiarias, compañías relacionadas o empresas pertenecientes a su mismo grupo empresarial (en adelante, “EMPRESAS VINCULADAS”), se obligan a no contratar de manera directa o indirecta, bajo ningún tipo de vínculo laboral o contractual, a empleados activos de T-mapp o de las empresas de su mismo grupo empresarial, durante la vigencia del presente contrato y hasta diez y ocho (18) meses después de su terminación, por cualquier causa.

En caso de que el CLIENTE o alguna de las EMPRESAS VINCULADAS decida contratar a un empleado activo de T-mapp o de su grupo empresarial, de manera directa o indirecta, se generará automáticamente a favor de T-mapp un fee de contratación de cincuenta millones de pesos colombianos (COP $50.000.000) más IVA, el cual deberá ser pagado por el CLIENTE dentro de los diez (10) días hábiles siguientes a la firma del contrato o inicio de la prestación de servicios de dicho empleado, lo que ocurra primero.

Terms and conditions
of Hunting contract

Between the undersigned, on the one hand, TALENT MAPPING S.A.S, a legally established commercial company registered with the commercial registry, identified with NIT 901.398.593-2, located in the city of Bogotá D.C., represented in this act by Mr. ALEJANDRO AREVALO, of legal age, residing in the city of Bogotá D.C., identified with citizenship ID number 80.871.113 of Bogotá D.C., in his capacity as legal representative of the company (hereinafter referred to as "TMAPP"); and on the other hand, THE CLIENT; who together shall be referred to as the "Parties", have decided to enter into this Contract ("The Contract") in order to establish the essential conditions of the joint business that the Parties will undertake, which shall be governed by the clauses set forth below:

• OBJECT - By means of this Contract, THE CLIENT hires the services of TMAPP for the recruitment of profiles. As consideration for the services provided by TMAPP, THE CLIENT shall pay the amount defined in clause two. At the beginning of each new search or each new Mapping, TMAPP shall discuss the profile with THE CLIENT and determine the specific conditions and other applicable attributes for the process. In turn, TMAPP undertakes to carry out all necessary procedures and actions to find, at a minimum, the number of candidates defined in the proposal, within the delivery time stipulated therein.
  

• PRICE - For the payment of the fees to be borne by THE CLIENT, the parties agree to proceed in accordance with the terms established in the commercial proposal. For any case chosen by THE CLIENT, TMAPP shall issue an invoice for the respective amounts, complying with the applicable tax provisions and adding the taxes that are applicable at the time of issuing the invoice. Payment of the invoice must be made within 30 (thirty) days following the date of issuance of the invoice.
  
  Paragraph: Once the payment period for the invoice established in clause two has expired, the failure to pay any amount owed by the Client to TMAPP under this Contract shall result in a penalty equivalent to 2% (two percent) of the total amount payable by the Client for each month of delay, and the payment of default interest at a rate of 2% (two percent) per month, calculated proportionally on the total amount of the outstanding payment, without prejudice to TMAPP's right to initiate judicial and/or extrajudicial measures it deems necessary to enforce the collection of such sums, from the moment the Client is in default with the payment for the services subject to this Contract. TMAPP is authorized to report THE CLIENT to credit bureaus in Colombia (such as DATACRÉDITO, among others).
  

• SCOPE OF SERVICES - Everything related to the medical examinations of the candidates and the necessary measures for the candidates to obtain the corresponding work permit or any other required authorization shall be the sole and exclusive responsibility of THE CLIENT, who shall facilitate the completion of any act aimed at obtaining said permits or authorizations. Additionally, THE CLIENT shall ensure that the hiring of the candidate does not in any way constitute a breach of the current labor legislation, and any non-compliance in this regard shall be its sole responsibility.
  
  TMAPP shall not be responsible in any case to THE CLIENT for damages, costs, claims, or expenses incurred by THE CLIENT or claimed by third parties as a result of the selection or hiring of the candidates. It is expressly agreed and understood that THE CLIENT shall be responsible for the management and payment of all employment benefits to be borne by the candidates who are employed by it, and therefore shall hold TMAPP harmless from any damages, claims, or demands that any of the candidates linked to the Client may initiate against TMAPP for these reasons.
  

• WARRANTY - If for any reason, the candidate presented and chosen by the Client leaves the position during the warranty period, which begins from the moment the candidate accepts the offer letter, T-mapp commits to initiating a new search process, at no additional cost, for the time agreed upon in the commercial terms. T-mapp will not issue refunds or partial or total money returns. The warranty will be executed according to the time agreed upon by both parties, offering a free replacement in the form of work to cover the vacancy worked.
  

• POST-HIRE - All candidates introduced by TMAPP to the client and subsequently hired within a period of 18 months from the date of presentation shall generate the fees stipulated in clause two of this Contract to be paid from the client to TMAPP. Additionally, if a candidate presented by TMAPP rejects the initial job offer from the client but is hired by the client during the 18-month period, this will also trigger the payment from the client to TMAPP.
  

• EXCLUSION OF EMPLOYMENT RELATIONSHIP - The Parties accept and understand that there is no employment relationship or subordination between them. TMAPP is an independent company, which has complete autonomy in its functions. TMAPP shall personally bear the expenses derived from its commercial operation.
  

• EXCLUSIVITY - If during the selection process carried out by TMAPP, the Client has any candidate of their own or provided by third parties, the Client must mandatory present them to TMAPP, who will include them in the process. Therefore, if the candidate is ultimately hired, the Client must also pay TMAPP the fees stipulated in clause two (2) of this Contract.
  

• CANCELLATION - TMAPP does not charge a cancellation fee. In any case, the Client shall pay the fees related to the stages of services effectively provided up to the moment of cancellation. If after the cancellation of a candidate search, the Client makes a job offer to a candidate presented by TMAPP, the Client shall pay TMAPP the agreed-upon fees for the search of said candidate. Under no circumstances will the amounts paid by the Client prior to the eventual cancellation of services be converted into credits in favor of the Client for other positions, nor can they be refunded.
  

• DURATION - The selection services shall not have a duration exceeding six (6) months from the date of signing the Contract unless otherwise expressly stipulated in the special conditions. If, after this period, none of the candidates presented by TMAPP have been hired by the Client, it shall be deemed that the service is canceled by the Client, and in such case, the provisions of the previous clause shall apply.
  

• In the event that the Client decides to hire (or engage) more candidates than those contractually anticipated or required by TMAPP within a period of 18 months from the start date of TMAPP's service, the Client shall pay TMAPP the fees corresponding to each of the contracted candidates as described in clause two (2) of the Contract and according to the fee option selected by the Client.
  

• ABSENCE OF REPRESENTATION - This Contract is a purely commercial contract that governs the relationship between TMAPP and THE CLIENT. Therefore, there is only a commercial relationship between the Parties as stated in this Contract, and there is no agency relationship, joint venture, de facto partnership, joint accounts agreement, or any other form of association other than what is stated herein.
  

• ASSIGNMENT - Neither Party may assign this Contract in whole or in part.
  

• AMENDMENTS - This Contract may only be modified by written agreement signed by the Parties. Under no circumstances can this Contract be terminated or modified verbally.
  

• APPLICABLE LEGISLATION - For all purposes, the applicable law to this Contract shall be the Colombian legal regulations.
  

• ARBITRATION CLAUSE - Regarding any dispute or difference arising from or in connection with this Contract, the Parties shall have a period of thirty (30) calendar days to resolve it directly. If no agreement is reached, it shall be resolved through an Arbitration procedure for Micro, Small, and Medium Enterprises (Mipymes) or Social Arbitration of the Chamber of Commerce of Bogotá, which shall be subject to the Rules of Procedure for Mipymes and Social Arbitration of the Arbitration and Conciliation Center of the Chamber of Commerce of Bogotá, according to the following rules:

  a. The tribunal shall be composed of an arbitrator appointed by the Chamber of Commerce of Bogotá, at the request of either Party.
  b. The Tribunal shall decide based on the law.
  c. The functions of the Secretariat shall be assumed by the Conflict Resolution Center of the Chamber of Commerce of Bogotá.
  d. The arbitration costs shall be those established in the Rules of Procedure for Mipymes and Social Arbitration of the Arbitration and Conciliation Center of the Chamber of Commerce of Bogotá.
  
  For this purpose, the Parties acknowledge and agree to fully submit to the aforementioned rules. Furthermore, they undertake to accept and comply with the decision of the sole arbitrator.
  

• CONFIDENTIALITY - The parties shall always observe the duty of confidentiality, disclosing information only to the extent strictly necessary to enable the hiring process. TMAPP shall not disclose the Client's data without authorization. The parties cannot be held responsible for disclosure made by third parties, and the parties shall instruct the candidates, third parties, and their employees to equally observe the duty of confidentiality. All information disclosed by TMAPP as a result of the execution of this Contract shall be considered confidential information owned by TMAPP, and therefore, THE CLIENT, its shareholders, managers, and/or affiliated personnel shall refrain from using, disclosing, copying, reproducing, publishing, or communicating such confidential information directly or indirectly to third parties, or using it for purposes other than the execution of this Contract, without the prior written authorization of TMAPP. The aforementioned Confidential Information shall only be disclosed by THE CLIENT to its personnel to the extent necessary for the proper execution of the Contract, provided that they are bound by a duty of confidentiality regarding the Confidential Information.Paragraph: The Parties agree that under no circumstances shall THE CLIENT disclose the personal information of the candidates provided by TMAPP. In the event that THE CLIENT breaches this provision, it shall be liable for any sanctions, claims, or damages arising from such breach, and shall also defend the interests of TMAPP.
  

• PREVENTION OF MONEY LAUNDERING AND TERRORIST FINANCING - The Parties declare under oath that the resources forming their assets do not come from money laundering, terrorist financing, drug trafficking, illegal money collection, or any other illicit activity. Likewise, they declare that the resources received in the performance of this Contract will not be used for any of the aforementioned activities. For this purpose, the Parties are authorized to consult the relevant lists, information systems, and databases, and if any report is found, each Party shall proceed with the contractual and/or legal actions that may be required.
  

• CONTRACTUAL DOMICILE AND NOTIFICATIONS - For the purposes of this Contract, the contractual domicile shall be the city of Bogotá D.C., and notifications between the Parties shall be made to the following addresses: Talent Mapping S.A.S: alejandro@t-mapp.com; Calle 94 # 21 - 37; +57 317 6422219
  

The CLIENT, as well as any of its affiliates, subsidiaries, related companies, or entities belonging to the same corporate group (hereinafter, the “AFFILIATED COMPANIES”), agree not to hire, directly or indirectly, under any type of employment or service contract, any active employee of T-mapp or any company within its corporate group, during the term of this Agreement and for a period of eighteen (18) months after its termination, regardless of the reason for termination.

In the event that the CLIENT or any of the AFFILIATED COMPANIES decides to hire, directly or indirectly, an active employee of T-mapp or of any company within its corporate group, a placement fee of fifty million Colombian pesos (COP $50,000,000) plus VAT shall automatically become payable to T-mapp. This amount must be paid by the CLIENT within ten (10) business days from the execution of the employment or service agreement, or from the commencement of the employee’s services, whichever occurs first.
